This Vendor Agreement (“Agreement”) governs the relationship between MrJacket.com (“MrJacket,” “Platform,” “we,” “us,” or “our”) and each person or business offering merchandise for sale through the MrJacket.com marketplace (“Vendor,” “Seller,” “you,” or “your”).
By registering as a Vendor, listing merchandise, or selling merchandise through MrJacket.com, you acknowledge that you have read, understood, and agreed to this Agreement and the policies incorporated into it.
1. Purpose of the Marketplace
MrJacket.com is a specialized online marketplace dedicated primarily to men’s jackets, outerwear, related apparel, accessories, and other categories specifically authorized by MrJacket.
Our mission is to create a curated marketplace bringing together professional resellers, vintage dealers, collectors, boutiques, retailers, brands, and other qualified sellers with consumers seeking men’s outerwear.
MrJacket provides the technology and marketplace through which Buyers and Vendors may find one another and conduct transactions.
Except where expressly stated otherwise, MrJacket is not the seller, owner, manufacturer, consignor, or purchaser of merchandise listed by independent Vendors.
A sale made through the Platform constitutes a transaction between the Vendor and Buyer. MrJacket facilitates the transaction but does not take title to the merchandise.
2. Vendor Eligibility and Approval
To sell on MrJacket, a Vendor must:
- Be at least 18 years of age and legally capable of entering into contracts;
- Provide accurate identification and contact information;
- Provide valid payment and payout information;
- Complete any identity, business, tax, banking, or other verification reasonably required by MrJacket or its payment-processing partners;
- Have the legal right to sell all merchandise offered through the Platform; and
- Comply with this Agreement and all applicable MrJacket policies.
MrJacket may review Vendor applications before approval.
MrJacket reserves the right to approve, decline, suspend, restrict, or terminate Vendor accounts when reasonably necessary to protect Buyers, other Vendors, MrJacket, or the integrity of the marketplace.
3. Seller Verification and Marketplace Security
MrJacket may require Vendors to provide information reasonably necessary to verify identity, business status, ownership of inventory, payment information, or authenticity of merchandise.
Verification may include identification documents, business documentation, tax information, banking information, photographs of inventory, invoices, receipts, certificates of authenticity, or other supporting documentation.
Vendors agree to cooperate with reasonable fraud-prevention and marketplace-security procedures.
Providing false, altered, stolen, misleading, or fraudulent verification information is grounds for immediate suspension or termination.
4. Vendor’s Merchandise
The Vendor represents and warrants that for every item listed on MrJacket:
- The Vendor owns the merchandise or otherwise possesses full legal authority to sell it;
- The merchandise is authentic;
- The merchandise is not stolen;
- The merchandise does not infringe any trademark, copyright, patent, publicity right, or other intellectual-property right;
- The merchandise may legally be sold and shipped to the Buyer;
- The listing accurately describes the merchandise; and
- All material defects or conditions reasonably relevant to a purchasing decision have been disclosed.
5. Authenticity and Counterfeit Merchandise
Counterfeit merchandise is strictly prohibited on MrJacket.com.
Vendors may not list or sell counterfeit, replica, imitation, fraudulently branded, or intentionally misrepresented merchandise.
This prohibition applies regardless of whether a listing uses terms such as “replica,” “inspired by,” “style,” or similar language.
MrJacket may request evidence supporting the authenticity or provenance of an item.
MrJacket may remove a listing or suspend a transaction while authenticity is investigated.
A Vendor who knowingly sells counterfeit merchandise may have the Vendor’s account permanently terminated and may be responsible for refunds, chargebacks, payment-processing expenses, investigation expenses, or other losses resulting from the transaction to the extent permitted by law.
6. Listing Standards
Vendors are responsible for their listings.
Listings must accurately disclose information reasonably necessary for a Buyer to evaluate the merchandise, including as applicable:
- Brand or manufacturer;
- Item type;
- Size;
- Measurements where appropriate;
- Materials;
- Color;
- Condition;
- Alterations;
- Significant wear;
- Damage;
- Missing components;
- Repairs;
- Authenticity or provenance information when relevant; and
- Clear photographs reasonably representing the actual merchandise.
For vintage, pre-owned, or collectible merchandise, normal age-related wear should be distinguished from significant defects whenever reasonably possible.
Vendors may not intentionally conceal defects through photography, editing, artificial intelligence, inaccurate descriptions, or other techniques.
7. Photographs and Listing Content
The Vendor represents that it owns, licenses, or otherwise has permission to use photographs, descriptions, trademarks, logos, videos, and other content submitted to MrJacket.
The Vendor retains ownership of its original content.
By submitting listing content, the Vendor grants MrJacket a non-exclusive, worldwide, royalty-free license to host, reproduce, display, format, distribute, advertise, and promote that content for purposes related to operating and marketing the MrJacket marketplace.
This license includes permission to promote Vendor listings through search engines, social media, email, advertising, affiliate channels, and other marketing channels.
The license terminates within a commercially reasonable period following removal of the applicable listing or termination of the Vendor’s account, except for archival, legal, completed-transaction, or previously distributed marketing materials.
8. Pricing
Vendors determine the selling price of their merchandise, subject to applicable law and MrJacket policies.
Vendors are responsible for ensuring that pricing, discounts, promotions, comparative prices, and other pricing representations are accurate and not misleading.
MrJacket may provide pricing suggestions, market information, analytics, or other tools. Such information is advisory only.
9. Marketplace Fees
MrJacket may charge Vendors commissions, transaction fees, listing fees, subscription fees, payment-processing fees, promotional fees, or other charges disclosed to the Vendor.
The applicable fees will be disclosed through the Platform or Vendor fee schedule.
By completing a transaction through MrJacket, the Vendor authorizes MrJacket and its payment-processing partners to deduct applicable fees, refunds, adjustments, chargebacks, or other authorized amounts from transaction proceeds or future payouts.
MrJacket may change its fee structure upon reasonable notice to Vendors.
Changes will apply prospectively unless otherwise required by law.
10. Payment Processing and Vendor Payouts
Payments may be processed through Stripe or another payment-processing provider designated by MrJacket.
Vendors agree to comply with the applicable payment processor’s terms and verification requirements.
Vendor proceeds, less applicable commissions, processing charges, refunds, adjustments, reserves, or other authorized amounts, will be paid according to the payout schedule established by MrJacket and its payment-processing provider.
MrJacket may temporarily delay or hold a payout when reasonably necessary to investigate:
- Suspected fraud;
- Counterfeit merchandise;
- A Buyer dispute;
- A chargeback;
- A suspected violation of this Agreement;
- Identity or banking verification;
- Unusual transaction activity; or
- Other circumstances presenting a reasonable financial or marketplace-security risk.
Funds will not be withheld longer than reasonably necessary except where required by a payment processor, financial institution, court order, law, regulatory requirement, or unresolved financial obligation.
11. Taxes
Vendors are responsible for taxes arising from their business activities except for taxes that MrJacket is legally required to collect, report, or remit as a marketplace facilitator.
Vendors agree to provide accurate taxpayer information reasonably requested by MrJacket or its payment-processing partners.
MrJacket may issue or facilitate applicable tax reporting documents as required by law.
12. Order Fulfillment
Once an order is accepted and payment has been authorized, the Vendor is responsible for fulfilling the transaction.
The Vendor must:
- Ship the correct merchandise;
- Package merchandise reasonably and securely;
- Ship within the time represented to the Buyer;
- Use valid tracking when required by Platform policy;
- Ship to the address specified in the transaction; and
- Retain reasonable proof of shipment and delivery.
A Vendor should not substitute merchandise without the Buyer’s express consent.
13. Returns, Refunds and Buyer Claims
Transactions are subject to the MrJacket Return and Buyer Protection Policies then in effect.
A Buyer may be eligible for a refund or other remedy if merchandise:
- Is materially different from the listing;
- Is counterfeit;
- Is the wrong item;
- Contains a significant undisclosed defect;
- Is materially misrepresented;
- Is not delivered; or
- Otherwise qualifies under the applicable Buyer Protection Policy.
MrJacket may review evidence submitted by both parties and facilitate resolution of disputes.
Vendors agree to cooperate reasonably with dispute investigations.
MrJacket may issue or facilitate refunds when required by Platform policy, payment-network rules, applicable law, or the outcome of a marketplace dispute.
14. Chargebacks and Fraud
Vendors must cooperate with MrJacket and its payment processors in responding to payment disputes and chargebacks.
MrJacket may request tracking information, photographs, communications, proof of authenticity, proof of shipment, invoices, or other relevant documentation.
A Vendor may be financially responsible for chargebacks arising from the Vendor’s fraud, misrepresentation, failure to ship, sale of counterfeit merchandise, violation of this Agreement, or other circumstances for which the Vendor is responsible, to the extent permitted by law.
MrJacket may maintain reasonable reserves or offset amounts against future payouts where necessary to address legitimate financial exposure.
15. Off-Platform Transactions and Fee Avoidance
MrJacket invests resources in attracting Buyers, operating the marketplace, processing transactions, protecting users, and promoting Vendor merchandise.
A Vendor may not use MrJacket primarily to identify or solicit Buyers and then intentionally move a transaction initiated through MrJacket outside the Platform for the purpose of avoiding MrJacket fees.
Vendors may maintain and operate businesses on other marketplaces and sales channels.
Nothing in this Agreement prevents a Vendor from independently selling merchandise through its own website, physical store, social-media account, or another marketplace, provided the Vendor does not improperly circumvent a transaction initiated through MrJacket.
Repeated or intentional fee circumvention may result in account restrictions or termination.
16. Cross-Listing and Third-Party Software
MrJacket may permit Vendors to use authorized inventory-management, cross-listing, API, or third-party software.
Vendors remain responsible for the accuracy and availability of listings submitted through third-party systems.
If an item sells elsewhere, the Vendor must remove or deactivate the MrJacket listing as promptly as reasonably possible.
Repeated cancellations caused by inaccurate cross-platform inventory may result in account restrictions.
Automated scraping, unauthorized bots, unauthorized APIs, interference with Platform systems, or attempts to circumvent technical safeguards are prohibited.
17. Prohibited Conduct
Vendors may not:
- Sell counterfeit or stolen merchandise;
- Misrepresent merchandise;
- Manipulate reviews, ratings, search results, transactions, or pricing;
- Create fraudulent transactions;
- Use stolen payment information;
- Harass or threaten Buyers or other Vendors;
- Impersonate another person or business;
- Circumvent security or payment controls;
- Intentionally avoid Platform fees on transactions initiated through MrJacket;
- Use Buyer information for unauthorized marketing;
- Sell merchandise prohibited by law or MrJacket policy; or
- Engage in conduct reasonably likely to damage the security or integrity of the marketplace.
18. Buyer Information and Privacy
Vendors may receive personal information about Buyers solely as necessary to fulfill transactions.
Vendors may use such information only for legitimate transaction-related purposes and as otherwise permitted by law and applicable Platform policies.
Vendors may not sell Buyer information or add Buyers to unrelated marketing lists without appropriate authorization.
Vendors must use reasonable safeguards to protect personal information in their possession.
19. Ratings and Reviews
MrJacket may permit Buyers and Vendors to provide ratings, reviews, or feedback.
Vendors may not manipulate the review system, purchase reviews, threaten Buyers regarding reviews, or offer improper compensation in exchange for favorable reviews.
MrJacket may remove reviews that violate Platform policies but does not guarantee removal of negative reviews merely because a Vendor disagrees with them.
20. Independent Businesses
Vendors are independent persons or businesses.
Nothing in this Agreement creates an employment relationship, partnership, franchise, agency, joint venture, fiduciary relationship, or other similar relationship between MrJacket and a Vendor.
Vendors control their inventory, merchandise selection, pricing, and business operations subject to this Agreement and applicable Platform policies.
21. Intellectual Property Complaints
MrJacket respects intellectual-property rights.
MrJacket may remove or restrict listings when it receives a credible intellectual-property complaint or otherwise reasonably believes a listing may infringe third-party rights.
Vendors agree to cooperate with reasonable investigations of intellectual-property claims.
Repeated infringement may result in account termination.
22. Suspension and Termination
MrJacket may suspend, restrict, or terminate a Vendor account for material or repeated violations of this Agreement, fraud, counterfeit sales, unlawful activity, significant marketplace-security risks, or conduct materially harmful to Buyers or the Platform.
When circumstances permit, MrJacket may provide notice and an opportunity to correct less serious violations.
MrJacket may act immediately where fraud, counterfeiting, security threats, legal obligations, or significant financial risk reasonably require immediate action.
A Vendor may discontinue selling through MrJacket subject to outstanding orders, refunds, chargebacks, fees, and other existing obligations.
23. Platform Availability
MrJacket does not guarantee uninterrupted availability of the Platform or that every listing will receive traffic, appear in a particular search position, or result in a sale.
MrJacket may modify, improve, suspend, or discontinue features of the Platform.
24. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the MrJacket marketplace and related services are provided on an “as available” basis.
MrJacket does not guarantee the conduct of Buyers or Vendors, the saleability of merchandise, the accuracy of user-generated content, or the completion of any particular transaction.
Nothing in this section excludes warranties or protections that cannot legally be excluded.
25. Limitation of Liability
To the maximum extent permitted by applicable law, MrJacket will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from a Vendor’s use of the Platform or transactions between Buyers and Vendors.
Any monetary limitation on MrJacket’s direct liability should be governed by the limitation stated in MrJacket’s general Terms of Service.
This section does not limit liability that cannot legally be limited.
26. Indemnification
To the extent permitted by law, the Vendor agrees to defend, indemnify, and hold harmless MrJacket and its officers, directors, employees, contractors, and affiliates from third-party claims, damages, liabilities, losses, and reasonable costs arising from:
- Merchandise sold by the Vendor;
- Counterfeit or infringing merchandise;
- The Vendor’s listings or representations;
- The Vendor’s violation of law;
- The Vendor’s breach of this Agreement; or
- The Vendor’s infringement of third-party rights.
27. Changes to This Agreement
MrJacket may modify this Agreement as the marketplace evolves.
Material changes will be communicated to Vendors through reasonable means, such as email, account notification, or publication through the Platform.
Continued use of the Vendor marketplace following the effective date of an updated Agreement constitutes acceptance of the updated terms to the extent permitted by law.
28. Governing Law
This Agreement will be governed by the laws of the State of Georgia, without regard to conflict-of-law principles, except where federal law or another applicable law controls.
29. Dispute Resolution
Before initiating formal proceedings, the Vendor and MrJacket agree to make a reasonable good-faith effort to resolve disputes informally.
[ATTORNEY REVIEW REQUIRED: Insert final arbitration, venue, jury-waiver, class-action-waiver, small-claims, opt-out, and notice provisions here.]
Because these provisions can materially affect legal rights and their enforceability depends upon precise drafting, MrJacket should have qualified counsel approve this section before publication.
30. Entire Agreement
This Agreement, together with MrJacket’s Terms of Service, Privacy Policy, Fee Schedule, Prohibited Items Policy, Buyer Protection Policy, Return Policy, Shipping Policy, and other policies expressly incorporated by reference, constitutes the applicable agreement between MrJacket and the Vendor concerning participation in the marketplace.
If a specific Vendor policy conflicts with the general Terms of Service concerning Vendor activities, the more specific Vendor provision will control unless expressly stated otherwise.
31. Vendor Acceptance
By clicking “I Agree,” “Become a Seller,” “Open My Store,” or similar acceptance mechanism, or by listing merchandise for sale after being presented with this Agreement, the Vendor acknowledges that:
- The Vendor has read and understands this Agreement;
- The Vendor agrees to comply with it;
- Information supplied to MrJacket is accurate;
- The Vendor is authorized to enter into this Agreement individually or on behalf of the identified business; and
- Electronic acceptance constitutes the Vendor’s agreement to these terms.
